These terms of service cover your use and access to our services, client software, Web Applications, Desktop Applications & Mobile applications. You automatically agree to
the Terms and our
Privacy Statement simply by using or logging into the Application.
Please note that we offer many services. Your use of eFloz products or services is provided by eFloz according to a digitally-executed agreement. Those additional terms become part of your agreement with us if you use the services or log into the Application.
Our
Privacy Policy explains how we collect and use your information while our Acceptable Use Policy outlines your responsibilities when using our Services. By using our Services, you agree to be bound by these Terms, our
Privacy Policy, our Acceptable Use Policy, and other Policies.
Terms
Privacy Policy: When you use our Services, you provide us with things like your files, content, messages, contacts, and so on (“Your Stuff”). Your Stuff is yours. These Terms don’t give us any rights to Your Stuff except for the limited rights that enable us to offer the Services. We need your permission to do things like hosting Your Stuff, backing it up, and sharing it when you ask us to.
Acceptable Use Policy: You agree not to misuse the eFloz services ("Services") or help anyone else to do so.
- a breach or otherwise circumvent any security or authentication measures
- access, tamper with, or use non-public areas or parts of the Services, or shared areas of the Services you haven't been invited to
- Help us keep Your Stuff protected. Safeguard your password to the Services, and keep your account information current. Don’t share your account credentials or give others access to your account.
Beta Services: We may offer certain Services as closed or open beta services ("Beta Service" or “Beta Services”) for the purpose of testing and evaluation. We will be the sole judge of the success of such testing and the decision, if any, to offer Beta Services as commercial services.
Billing
- a) Subscription: All Cloud Products are offered either on a monthly subscription basis or an annual subscription basis.
- b) Renewal: If you’re on an annual plan, we’ll send you a notice email reminding you that your plan is about to renew within a reasonable period before the renewal date. You’re responsible for all applicable taxes, and we’ll charge tax when required to do so. Your Renewal date will be the date from when your service is activated. We’ll automatically bill you from the date of each periodic renewal until cancellation.
- c) Payment: You will pay all fees per each Order, by the due dates, and in the currency specified in the Order. If a PO number is required for an invoice to be paid, then you must provide such a PO number by emailing the PO number to sales.efloz@gmail.com. For Additional Services provided at any requirements or modification, unless otherwise specified in your Order, you will reimburse us for such services.
Warranties
We provide our Services using a commercially reasonable level of care and promise to do our best to make sure you enjoy the Services.
- General Maintenance - 3 months from the date of billing, which covers Modifications and any requirements in default fields Annual
- Maintenance - Support on Technical or Software related issues covered annually.
Adding Users
You may add users, increase storage limits, or otherwise increase your use of Cloud Products by placing a New Order or modifying an existing Order. Unless otherwise specified in the applicable Order, we will charge you for any increased use at our then-current rates.
Cancellation & Refund
Cancellation: You may cancel your subscription or service with us at any time by providing written notice to us via email or through our cancellation process. If you wish to cancel your subscription or service, please contact us at least 48 hours before the next billing cycle. Cancellations made within 48 hours of the next billing cycle will be charged for that cycle. Cancellation of your subscription or service will result in the termination of your access to any associated features, functionalities, and support. It is your responsibility to ensure that your cancellation request is properly communicated to us and that you receive a confirmation of cancellation from us.
Refund: If you cancel your subscription or service before the end of the billing cycle, you will not be charged for any future billing cycles. However, we do not provide refunds or prorated refunds for any unused portion of the current billing cycle. To be eligible for a refund, you must provide proof of purchase and explain the reason for the refund request. Refunds will not be granted if the software has been used for more than 30 days, or if it has been purchased from a third-party retailer. We reserve the right to modify or update this cancellation policy at any time. Any changes will be effective upon posting the updated policy on our website or providing notice to you.
Termination
This Agreement shall continue in effect for a period of one year from the date of its execution and from year to year after successful renewal. The agreement may be terminated on any one of the following terms:
- a) This Agreement will terminate on breaching of eFloz’s terms and conditions.
- b) This Agreement shall be automatically and without any further action renewed for additional successive periods of 12 months each a “Renewal Period”, in which case this Agreement shall terminate upon the expiry of the Subscription or Renewal Period (or) may otherwise be terminated in accordance with the provisions of this Agreement.
Upon termination or expiration of this Agreement for any reason whatsoever
- (a) all rights granted to Customer under this Agreement shall immediately terminate
- (b) the Customer shall immediately cease any use of the Services
- (c) all outstanding service fees will immediately become due and payable by Customer
- (d) each party shall return and make no further use of any Confidential Information belonging to the other party
- (e) the Company shall destroy any of the Customer Data in its possession (if any). For the avoidance of doubt, any provision expressly stated to survive or implicitly surviving termination or expiration, shall not be affected or prejudiced by such termination or expiration.
Services
eFloz shall use commercially reasonable endeavors to make the Services available 24 hours a day, seven days a week, except for
- (a) planned maintenance carried out by the Company during the maintenance window at such times and dates as shall be notified by Company in advance, and
(b) unplanned maintenance performed, as determined by the Company at its sole discretion, provided that the Company has used reasonable endeavors to give the Customer a prior notice. Company will, as part of the Services and at no additional cost to the Customer, provide the Customer with
- (i) standard, phone, and support services, during Normal Business Hours; and
- (ii) other services as Company, in its sole discretion deems necessary in order to provide the Services. More comprehensive support services may be provided by the Company, subject to the entrance by the parties into a separate Service Level Agreement, and subject to payment by the Customer of different support fees.
